Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Grail Computer Labs Pte. Ltd., UEN 202520709D, a company incorporated in Singapore with its registered address at 68 Circular Road, #02-01, 049422, Singapore ("Grail," "we," "us," or "our"). These Terms govern your access to and use of Grail's software modernisation services, engineering and operations platform, AI capabilities, workflow tools, APIs, dashboards, documentation, and associated websites or connected business-system services (collectively, the "Service").

Enterprise modernisation, Grail Studio, and managed-service engagements may also be governed by a signed master services agreement, order form, statement of work, or data processing agreement. If a signed agreement conflicts with these Terms, the signed agreement controls for that engagement.

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

• Minimum Age. You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an account.
• Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorised use.
• Accurate Information. You agree to provide and keep current, true, and complete information. We may suspend or terminate the Service if we suspect information is inaccurate or fraudulent.

3.1 Licence to You

Subject to your compliance with these Terms, Grail grants you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service for your internal business purposes.

3.2 Beta & Experimental Features

Certain features may be labelled "Beta," "Preview," or similar. They are provided "AS IS" without warranties and may be changed or removed at any time. Your feedback helps us improve.

3.3 Workspace Content & AI Outputs

• Your Content. You own the prompts, files, workflow specifications, data, and other materials you upload ("User Content"). You grant Grail a worldwide, limited licence to host, run, and process User Content solely to provide the Service to you.
• AI‑Generated Output. Outputs produced for you by Grail or third‑party LLM providers are your property, subject to applicable law and the applicable signed agreement. We do not use customer workspace content, source code, prompts, or outputs to train shared models or improve cross-client services without the customer's written opt-in. We may process limited operational telemetry to secure, support, and operate the Service.
• Workflow Deliverables & Exports. If the Service exports documents, code, audit logs, invoices, or other workflow deliverables into your systems, those exports remain subject to your internal policies and the terms of the connected third‑party service.

3.4 Bespoke Deliverables

Ownership of bespoke deliverables is governed by the applicable order form or statement of work. Unless that document says otherwise, the customer owns bespoke source code, tests, system maps, runbooks, and other deliverables created specifically for it after payment. Grail retains its pre-existing platform, tools, templates, methods, know-how, and open-source components.

You agree not to:

1. Violate any applicable law or regulation.
2. Infringe or misappropriate intellectual property or privacy rights.
3. Upload or transmit malicious code, malware, or any material that could harm the Service or users.
4. Attempt to scrape, reverse‑engineer, or otherwise access non‑public areas or source code of the Service except as permitted by open‑source licences.

We reserve the right to suspend accounts or remove content that, in our sole discretion, violates this policy.

Fees, payment schedules, usage limits, and refund terms are described in the applicable order form, statement of work, or checkout terms. Where a hosted or self-service product uses recurring billing, charges may be processed through Stripe under the billing terms shown before purchase.

Grail's pre-existing platform, software, documentation, methods, and grail.computer content are owned or licensed by Grail and protected by copyright, trademark, and other laws. This does not change the ownership of customer content or bespoke deliverables described in Section 3 or an applicable signed agreement. Except for the rights expressly granted, each party retains its respective rights. Any Feedback you submit is considered non-confidential; we may use it without compensation.

The Service integrates with third‑party APIs and services, including Slack, Microsoft Teams, CRMs, ERPs, ticketing systems, storage providers, payment platforms, and identity systems. Your use of those services is governed solely by their respective terms. Grail disclaims any responsibility for third‑party content, availability, or practices.

You may terminate your account at any time via account settings. We may suspend or terminate the Service or your account immediately if you breach these Terms, cause risk or harm, or if required by law. Upon termination, your licences end and you must cease use of the Service. Sections 6‑13 survive termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GRAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAIL WILL NOT BE LIABLE FOR (A) INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR (B) AGGREGATE LIABILITY EXCEEDING THE GREATER OF (i) USD 100 OR (ii) THE AMOUNTS PAID BY YOU TO GRAIL IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Grail and its officers, directors, employees, and agents from any claims arising out of your use of the Service, User Content, or violation of these Terms.

These Terms are governed by the laws of Singapore, without regard to conflict of laws. Any disputes will be resolved by confidential arbitration under the SIAC Rules in Singapore, unless you opt for small‑claims court in your jurisdiction.

We may modify these Terms from time to time. Material changes will be notified via email or in‑app banner at least 30 days before they take effect. Continued use of the Service constitutes acceptance of the revised Terms.
