Terms of Service
Effective Date: 15 July 2025
1. Introduction
These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Grail Computer Labs Pte. Ltd., UEN 202520709D, a company incorporated in Singapore with its registered address at 68 Circular Road, #02‑01, Singapore 049422 ("Grail," "we," "us," or "our"). These Terms govern your access to and use of Grail's browser‑based AI workspaces, agent platform, APIs, dashboards, mobile or desktop applications, documentation, and any associated services or websites (collectively, the "Service").
By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility & Account Registration
- Minimum Age. You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an account.
- Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorised use.
- Accurate Information. You agree to provide and keep current, true, and complete information. We may suspend or terminate the Service if we suspect information is inaccurate or fraudulent.
3. The Service
3.1 Licence to You
Subject to your compliance with these Terms, Grail grants you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service for your own business or personal purposes.
3.2 Beta & Experimental Features
Certain features may be labelled "Beta," "Preview," or similar. They are provided "AS IS" without warranties and may be changed or removed at any time. Your feedback helps us improve.
3.3 Workspace Content & AI Outputs
- Your Content. You own the code, prompts, files, and data you upload ("User Content"). You grant Grail a worldwide, limited licence to host, run, and process User Content solely to provide the Service to you.
- AI‑Generated Output. Outputs produced by the third‑party LLM providers are your property, subject to applicable law. Grail retains no ownership but may store and analyse metadata on the Output to improve the Service, unless you are on an Enterprise plan and opt‑out.
- Open‑Source Templates & Public Projects. If you mark a workspace "public," you license its contents under the licence you select (default MIT). Public projects are cached by our CDN and searchable by others.
4. Acceptable Use Policy
You agree not to:
- Violate any applicable law or regulation.
- Infringe or misappropriate intellectual property or privacy rights.
- Upload or transmit malicious code, malware, or any material that could harm the Service or users.
- Attempt to scrape, reverse‑engineer, or otherwise access non‑public areas or source code of the Service except as permitted by open‑source licences.
We reserve the right to suspend accounts or remove content that, in our sole discretion, violates this policy.
5. Fees & Payment
Certain features require payment of fees. Prices, billing cycles, and usage limits are described on the Grail pricing page. Charges are processed via Stripe; by subscribing you authorise Grail to bill your payment method on a recurring basis. If you enable "Auto Top‑Up" in your billing settings, you also authorise Grail to automatically debit the payment method on file whenever your prepaid balance falls below the threshold you set, in accordance with the Auto Top‑Up rules displayed in your account dashboard. All fees are non‑refundable except as required by law.
6. Ownership & Intellectual Property
The Service, including all software, documentation, and grail.computer content, is owned or licensed by Grail and protected by copyright, trademark, and other laws. Except for the limited licence granted herein, Grail reserves all rights. Any Feedback you submit is considered non‑confidential; we may use it without compensation.
7. Third‑Party Services & Open‑Source Software
The Service integrates with third‑party APIs. Your use of third‑party services is governed solely by their terms. Grail disclaims any responsibility for third‑party content or practices.
8. Termination
You may terminate your account at any time via account settings. We may suspend or terminate the Service or your account immediately if you breach these Terms, cause risk or harm, or if required by law. Upon termination, your licences end and you must cease use of the Service. Sections 6‑13 survive termination.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GRAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAIL WILL NOT BE LIABLE FOR (A) INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR (B) AGGREGATE LIABILITY EXCEEDING THE GREATER OF (i) USD 100 OR (ii) THE AMOUNTS PAID BY YOU TO GRAIL IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Grail and its officers, directors, employees, and agents from any claims arising out of your use of the Service, User Content, or violation of these Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to conflict of laws. Any disputes will be resolved by confidential arbitration under the SIAC Rules in Singapore, unless you opt for small‑claims court in your jurisdiction.
13. Modifications
We may modify these Terms from time to time. Material changes will be notified via email or in‑app banner at least 30 days before they take effect. Continued use of the Service constitutes acceptance of the revised Terms.
